Oracle paid $28.2 billion for hospital records that are among the hardest data in the world to move, and has yet to make them grow fast.

Cerner was a very large purchase, and it bought something unusual: records that a hospital cannot easily move. Oracle acquired Cerner on 8 June 2022 for $95.00 a share, a total purchase price of $28.2 billion1. Most of it was recorded as goodwill, $18,618 million, and intangible assets, $11,972 million2.

Electronic health records carry switching costs even higher than a general ledger. Doctors and nurses are trained on the system, clinical workflows are built around it, and a failed migration puts patients at risk. Hospitals change record systems rarely.

The business arrived at a meaningful size. Cerner contributed $5.9 billion to Oracle's revenue in fiscal 20233, about 11.8% of the year's total4, and it is why the services line jumped from $3,205 million in fiscal 2022 to $5,594 million in fiscal 20235.

Oracle has not written it down. Its annual impairment tests did not result in a goodwill impairment charge, and it recognised no impairment in fiscal 2025 or 20246. It now sells Cerner's products as Oracle Health and says a new AI patient care system will push the business's growth "to double-digits in fiscal year 2027"7. That sentence also tells you growth is below double digits today.

The Cerner business also brought litigation risk and regulatory exposure unusual for Oracle. Health records are subject to privacy rules and government contracting, and Oracle's annual report already carries a privacy class action in the Netherlands8. The regulatory surface of Oracle has grown with every industry it has bought into.

Cerner widened the applications moat into a regulated industry. The test is whether Oracle Health reaches the double-digit growth management promised for fiscal 2027; if it does not, the $28.2 billion bought a durable franchise that is standing still.
