Thermo Fisher paid about six times revenue for Clario, and two-thirds of the price is goodwill that only growth can justify.

Thermo Fisher paid a high multiple for Clario. The booked price of $9,098 million1 is about 6.1 times the $1.5 billion of 2025 revenue management cited on the January call, and about 7.3 times the $1.25 billion the company expected in October2.

The payoff depends on growth the company has promised: high single digits, and $0.45 of adjusted earnings per share in year one3. Goodwill of $5,934 million4 is 65% of the price5.

A business bought at six times revenue has to grow for years to earn its cost of capital.

The acquired intangible assets will add to amortization. Customer relationships were valued at $2,510 million and backlog at $423 million6. Those amounts are written off over time, which lowers GAAP earnings for years and widens the gap between reported and adjusted profit that the company already carries.

A large part of the price went to Clario's lenders. The booked purchase price included $5,806 million of cash paid to the sellers and $3,180 million of Clario's debt settled at closing7. Thermo Fisher took on that obligation with its own borrowing, which is part of why its debt reached $42.5 billion by June 20268.

The first-year return is thin. The company expects Clario to add $0.45 of adjusted earnings per share in its first year9; on the 370 million to 373 million shares it expects in 202610, that is about $167 million, roughly 1.8% of the booked price11, and before the cost of the debt used to pay for it.

The test is whether the $0.45 is delivered by March 2027. A shortfall, or an impairment of the goodwill, would say the price was too high.
