Clario: Trial Data Behind 70% of ApprovalsNarrow moat
Thermo Fisher Scientific (TMO) — moat facet
Clario sits inside the step drug approvals are judged on, which is why Thermo Fisher paid about $9.1 billion for a business with $1.25 to $1.5 billion of revenue.
Clario is the largest purchase since PPD. Thermo Fisher completed it on 24 March 20261, paying approximately $8.875 billion in cash at closing plus $125 million of deferred consideration and up to $400 million contingent on performance2. The booked purchase price was $9,098 million, of which $5,934 million was goodwill3.
Its claim is reach: the platform "has supported approximately 70% of FDA and EMA novel drug approvals over the past decade"4. Clario collects the endpoint data a trial is judged on, so it sits inside the most regulated step of the process.
The revenue is less certain than the price. In October 2025 Thermo Fisher expected Clario to generate approximately $1.25 billion of revenue in 20255; on the January call management said "In 2025, the business generated approximately $1.5 billion in revenue"6. The company expects it to add $0.45 of adjusted earnings per share in the first year and to grow in the high single digits7.
It is already visible. Clinical research revenue was $2,396 million in the second quarter of 2026, against $1,955 million a year earlier8, a 22.6% rise9 that is mostly Clario.
The sellers were private equity. Thermo Fisher bought Clario "from a shareholder group led by Astorg and Nordic Capital, Novo Holding and Cinven"10, and Clario brought approximately 4,000 colleagues11. Six months later Thermo Fisher agreed to sell its microbiology business to Astorg12, so the same investor was on the other side of both a purchase and a sale.
The page would be wrong if Clario's growth fell below mid-single digits in its first full year. Clinical research revenue in the fourth quarter of 2026 is the first clean read.
Clinical research $1,955M (Q2 2025) to $2,396M (Q2 2026), mostly Clario.
The trial business with Clario; growth below mid-single digits once Clario is in both periods would undercut the price paid.
