Thermo Fisher Scientific (TMO) — moat facet
Thermo Fisher sells slow businesses at under two times revenue and buys fast ones at six, a trade that works only if the fast ones keep growing.
Thermo Fisher also sells businesses, and the pattern is consistent: it sells steady, slow lines that sit outside its main channels. In 2019 it sold its Anatomical Pathology business to PHC Holdings for $1.13 billion1. In April 2026 it agreed to sell its microbiology business to Astorg for approximately $1.075 billion, consisting of cash and a $50 million seller note2.
Microbiology is a small, slow business. Its revenue was $618 million in 2023, $633 million in 2024 and $645 million in 20253, growing about 2% a year4. The sale price is about 1.7 times revenue5, well below the six times paid for Clario.
That contrast is the strategy. The company sells a slow business at a low multiple and buys a faster one at a high multiple. The trade only works if the faster business keeps growing.
The sale costs earnings in the short run. Management expects it to be dilutive to adjusted earnings by approximately $0.15 in the first full year6.
The microbiology sale also reduces 2026 revenue by about $200 million and adjusted earnings per share by about $0.05 in the year7. Anatomical Pathology, sold for $1.13 billion net of cash divested in 20198, set the pattern: a diagnostics business outside the channel's core, sold to a buyer that valued it more.
The facet is judged by whether the proceeds earn more than the business sold. Microbiology revenue was $166 million in the second quarter of 20269, the last quarters it will be reported.
Microbiology sold at about 1.7 times 2025 revenue.
The business being sold; strong growth before the close would suggest it was sold too cheaply.
