Selling microbiology will cost Thermo Fisher about 15 cents of adjusted earnings per share and some of its channel's volume.

The microbiology sale reduces earnings. Management expects it to reduce 2026 revenue by about $200 million and to be dilutive to adjusted earnings per share by approximately $0.15 in the first full year1.

The business sold $645 million in 2025, and roughly a quarter of it went through Thermo Fisher's own channel2. The channel loses that volume unless the buyer keeps using it.

The company has already spent the proceeds on buybacks, which offset part of the dilution.

Part of the price is a loan. The consideration includes a $50 million seller note3, so Thermo Fisher is financing part of its own buyer's purchase. The amount is small, but it means some of the proceeds already spent on buybacks will arrive later.

The business being sold was still growing. Microbiology revenue was $166 million in the second quarter of 2026 against $159 million a year earlier4, 4.4% more5. Thermo Fisher is not shedding a shrinking unit; it is exchanging a slow, steady one for cash to spend on faster ones, and the buyer, Astorg, was also one of the sellers of Clario, as the Clario page notes.

The business is small against the whole. Its $645 million of 2025 revenue was 1.4% of the company's67, so the sale changes Thermo Fisher's mix far less than it changes Specialty Diagnostics'.

The test is whether earnings per share for 2026 still reach the guided $24.93 to $25.338. A miss attributable to the divestiture would say the trade cost more than it saved.
