Thermo Fisher Scientific (TMO) — threat to the moat
Thermo Fisher has booked restructuring charges every year, which makes them part of the cost of its acquisition strategy.
Buying companies means restructuring them, and Thermo Fisher does it every year. Restructuring and other costs were $459 million in 2023, $379 million in 2024 and $362 million in 20251. In the first half of 2026 severance actions affected approximately 1% of the workforce2.
A cost that recurs every year is an operating cost, whatever it is called. The adjusted earnings figures the company emphasises exclude such items.
That does not make the charges wasteful: they are how the acquisitions earn their return. It does mean the adjusted margin overstates what the business earns in a normal year.
The 10-K describes the 2025 charges as "headcount reductions and facility consolidations in an effort to streamline operations", together with the disposal of a joint venture and impairments of long-lived assets3. That is the ordinary work of absorbing acquisitions, repeated every year because acquisitions are made every year.
The charges are modest against the company's earnings. The $362 million of 2025 was 4.7% of operating income of $7,746 million45. But they have been taken in every one of the last three years, and the Clario integration and the microbiology sale give 2026 two more reasons to take them again.
The burden is at least shrinking. The $459 million of 2023 was 6.7% of that year's operating income of $6,859 million67; by 2025 the share was 4.7%.
Watch the charge against operating income: if restructuring rises again as Clario is absorbed, the gap between reported and adjusted profit will widen.
