Thermo Fisher's goodwill is larger than its entire shareholders' equity, so a failed acquisition would come straight out of book value.
At 27 June 2026 Thermo Fisher carried goodwill of $54,832 million against total equity of $52,686 million1. Every dollar of shareholders' equity, and more, is the premium paid for acquisitions over their tangible assets.
Goodwill is not written down unless a business underperforms. The filings disclose no large impairment. But a company whose book value is mostly goodwill has little margin for a purchase that disappoints.
Clario added $5,934 million of goodwill in a single transaction2.
Shareholders' equity has been rising too: $49,584 million at the end of 2024 and $53,407 million at the end of 20253. The company bought back stock at the same time, and treasury stock held at cost reached $22,309 million4. Buybacks shrink equity while acquisitions grow goodwill, which is how the two lines crossed.
The lines crossed only recently. At the end of 2025 goodwill was $49,362 million against Thermo Fisher shareholders' equity of $53,407 million5. Six months and one acquisition later, goodwill was $54,832 million and total equity $52,686 million6. Clario alone moved the balance sheet from one side of the line to the other.
Equity now funds less than half the balance sheet: total equity of $52,686 million against total assets of $113,174 million in June 20267, 46.6%8. The rest is debt and other liabilities, and most of the assets are goodwill and intangibles.
The risk becomes real if an acquired business misses its plan badly enough to trigger an impairment test. The ratio of goodwill to equity, above one in June 2026, is the number that would make such a charge painful.
