A supplier settlement cut Cisco's fiscal 2025 profit by about $0.3 billion after the results had been announced.
Cisco's fiscal 2025 results changed between announcement and filing. The press release of 13 August 2025 reported net income of $10.5 billion and earnings per share of $2.611. The 10-K, filed on 3 September, reported net income of $10,180 million and $2.552.
The cause was a settlement after the year ended. "On August 26, 2025, we settled a legal dispute with a supplier relating to purchase obligations arising under long-term supply arrangements, which resulted in a charge to product cost of sales"3. The later reconciliation shows $355 million of legal and indemnification charges in the fourth quarter of fiscal 20254.
The gap was about $0.3 billion of net income and six cents a share5. Non-GAAP figures were unchanged.
Cisco has had larger adjustments before. In fiscal 2018 it recorded a provisional tax expense of $10.4 billion related to the Tax Act6, leaving net income of $110 million7, and in fiscal 2019 an $872 million charge reversed a prior benefit8. The fiscal 2025 revision was small beside those.
The fourth quarter moved too. The release reported fourth-quarter net income of $2.8 billion, or $0.71 a share9; the 10-K showed $2,550 million, or $0.6410. The entire revision landed in the last quarter of the year, where the settlement was recorded.
This is not a sign of bad accounting; a settlement reached before filing must be recorded in the year it relates to. But it shows where Cisco's risk lies: in long-term supply commitments, which are now more than twice as large11. The warning would be another such charge as the AI commitments unwind.
