American Express (AXP) — threat to the moat

Every cobrand renewal is a negotiation over how much of the merchant fee the partner keeps.

Cobrand agreements are long, but they end, and the renewal is where the economics are reset. American Express says cobrand terms generally range "from five to ten years"1, and that at expiry partners may buy the loans on their cards2. Its risk factors warn that "Billed business could decline and Card Member attrition could increase, in each case, significantly as a result of the termination of one or more partnership relationships"3.

Partner payments grew faster than the merchant fee.

That sentence gives the partner leverage. A partner whose card carries several percent of billed business can threaten to leave, and Amex must weigh the loss of the spending against a higher payment. Amex said it faces "intense competition in the premium space and for cobrand relationships"4.

The accounts show the outcome of these negotiations over time. Business development expense grew about 72% from 2021 to 20255, faster than discount revenue at about 52%6, and the company attributes much of it to partner payments7.

The Costco page in this app, Visa Is the Only Credit Card That Works, shows the other outcome: in 2016 Costco moved its card to Citi and Visa after Amex, in its own words, was "unable in the end to reach terms that would have made economic sense"8. The Major Clients page on Costco sets out what that cost Amex.

The ratio to watch is business development expense against discount revenue: about 15% in 2021 and about 17% in 20259. A move above 20% would mean partners were capturing a fifth of what merchants pay.
