American Express (AXP) — threat to the moat
Where regulators could not cap Amex's fee, they made its network uneconomic, and Europe and Australia are the proof.
The absence of interchange protected Amex's merchant fee, but it did not protect the network. In the European Union and in Australia Amex no longer runs its network business; it exited both "as a result of regulation in those jurisdictions"1.
That history is a warning about how regulators respond to a structure they cannot fit into their rules. When the fee cannot be capped, the rules can be written around the network itself, and the company has to choose between operating under them or leaving.
The pressure has not stopped. Amex describes "downward pressure on our merchant discount rates from decreases in competitor pricing in connection with caps on interchange fees"2: even where its own fee is not capped, the capped rivals set the price the merchant compares against. In Europe it also flags a court case over the KLM cobrand in the Netherlands and the possibility that it "will not be able to maintain our existing cobrand and agent relationships in the EU"3.
Outside the United States this matters most. International Card Services earned $1,603 million of pretax income in 20254, up about 55% on 2024 and the fastest-growing segment profit in the company5.
The United States is where a rule would do real damage, because that is where nearly all the profit is: the U.S. produced $13,054 million of the $16,047 million of pretax income the four regions earned in 202567. Any American proposal to regulate three-party networks, or to extend interchange caps to them, would be the moment to reread this page.
