⚠ $24 Billion of Notes and a DowngradeModerate threat
Amgen (AMGN) — threat to the moat
Horizon doubled Amgen's debt to about $56 billion, and interest now takes about 30% of operating income.
Amgen did not have $27.8 billion in cash. It issued $24 billion of senior notes on 2 March 2023 and drew $4 billion from a term loan, and the 10-K says the borrowing resulted in downgrades to its credit ratings1. It used $27.0 billion of net cash for the purchase2.
The debt remains. Amgen's total principal debt was $56,044 million at the end of 2025, against $29,903 million of total debt at the end of 201934. Net interest expense was $2,755 million in 20255, about 30% of operating income6. In February 2026 Amgen issued another $4.0 billion of notes, with maturities from 2031 to 2056 and coupons from 4.200% to 5.650%7. Debt outstanding was $57.3 billion at 30 June 20268.
Amgen has been paying it down, repaying $5,000 million in 20259, and has stopped buying back shares to do so: no repurchases in 202510 and none in the second quarter of 202611. That is the trade-off. The cash that used to reduce the share count now reduces the debt.
The risk is not default; Amgen generated $9,958 million of operating cash in 202512. It is inflexibility. A company servicing $57 billion of debt has less room to buy the next franchise when a patent cliff arrives.
The threat would sharpen if the term loan due in October 202613 were refinanced rather than repaid, or if net debt stopped falling. Net debt was about $43.3 billion in June 202614; a figure above that in a year's time would mean the deleveraging has stalled.
