The IRS wants about $10.7 billion of tax and penalties over profits Amgen booked in Puerto Rico, and a decision is due late 2026 or early 2027.

Amgen's largest single contingent liability is not a drug. The IRS says Amgen booked too much profit in Puerto Rico and too little in the rest of the United States. For 2010 to 2012 it seeks additional federal tax of approximately $3.6 billion plus interest; for 2013 to 2015, approximately $5.1 billion plus interest and penalties of approximately $2.0 billion1. That is about $10.7 billion before interest2, reduced by up to about $900 million and $2.2 billion of repatriation tax already paid on foreign earnings3.

Amgen says the IRS positions are without merit and is contesting them in the Tax Court4. The two cases were tried together, the court ordered supplemental closing briefs, which were filed on 20 May 2026, and Amgen expects a decision from the U.S. Tax Court no earlier than late 2026 or early 20275.

The dispute is growing. In April 2026 Amgen received a draft notice of proposed adjustment for 2016 to 2018 which is similar to the proposed adjustments for years 2010 to 20156. A loss would therefore not be a single payment: it would likely reset the tax on every later year in which the same structure applied.

The size is material. The amounts asserted are about 1.4 times Amgen's 2025 net income7 and about 4.8% of its market value8, against cash of $13,989 million in June 20269.

The structure matters for the future tax rate as well as the past. Amgen guides a 2026 GAAP tax rate of 14.5% to 16.0%10, and in 2025 it paid $1,265 million of tax on pre-tax income of about $8,976 million1112. A ruling that moved more profit from Puerto Rico to the mainland could raise that rate for later years too, which is why the draft notice for 2016 to 201813 matters as much as the amounts already asserted.

The Tax Court decision is the whole threat. A ruling for Amgen would remove it; a ruling for the IRS would bring a payment of several billion dollars plus interest, and a higher tax rate going forward, at the same time as denosumab declines.
