Amgen paid $27.8 billion for Horizon's rare-disease drugs, which sold $4.6 billion in 2025 and have no direct competitors in their main markets.
Amgen bought Horizon Therapeutics on 6 October 2023 for $116.50 a share, a total consideration of approximately $27.8 billion1. It was the defining act of the current strategy: pay heavily for drugs that treat rare diseases, where there are few competitors and payers have less leverage.
The purchase allocated $19,590 million to developed-product rights, $1,060 million to research in progress and $3,111 million to goodwill, and included $5,025 million of inventory2. That inventory was stepped up to fair value, and selling it has cost Amgen $656 million in 2023, $2.4 billion in 2024 and $1.3 billion in 2025 of extra cost of sales3.
What Amgen got is four businesses. In 2025 TEPEZZA, for thyroid eye disease, sold $1,903 million; KRYSTEXXA, for chronic gout, $1,340 million; UPLIZNA $655 million; and the ultra-rare products $719 million4. Together that is $4,617 million5, about 16.6% of the price in one year's revenue6. In the second quarter of 2026 the four sold $1,460 million, an annualised rate of about $5.8 billion78.
The logic is sound. TEPEZZA and KRYSTEXXA currently do not face any direct competitors in the United States, Europe or Japan9, which protects them from the rebate spiral that affects the rest of the portfolio.
The Horizon drugs are almost entirely American. In the second quarter of 2026 TEPEZZA sold $520 million in the United States and $56 million elsewhere, and KRYSTEXXA $399 million and $1 million10. The foreign opportunity is only beginning: the European Commission approved TEPEZZA for thyroid eye disease in June 202511. That concentration is also a risk, since American pricing is exactly what Washington is trying to change.
The cost is that the deal was financed with debt and the returns come slowly. The figure to follow is the four products' combined quarterly sales; holding growth above 10% a year would justify the price, while a stall below the 2025 rate of about $4.6 billion would mean Amgen paid a growth multiple for a mature business.
