Morgan Stanley (MS) — moat facet
Morgan Stanley bought Eaton Vance for $8.7 billion and its fund business still makes less pre-tax profit than it did in 2021.
Investment Management is Morgan Stanley's smallest segment and the one most exposed to the move toward passive funds. It earned net revenues of $6,525 million and pre-tax income of $1,478 million in 20251, a pre-tax margin of about 23%2.
It manages funds and portfolios across equity, fixed income, alternatives and liquidity, including Eaton Vance, Parametric and Calvert. Assets under management were $1,666 billion at the end of 2024 and $1,895 billion at the end of 20253, and $2,004 billion in June 20264.
It is paid in fees on assets plus performance income. In 2025 asset management and related fees were $6,068 million and performance-based income and other $457 million5.
The history turned on one deal. Revenue was $2,315 million in 2015 and $3,734 million in 202067. Eaton Vance, completed on 1 March 2021 for total consideration of approximately $8.7 billion8, took revenue to $6,220 million in 20219. It then fell to $5,370 million in 2023 before recovering1011.
Profitability followed. The pre-tax margin was about 27% in 2021 and about 16% in 202312, and pre-tax income was $404 million in the second quarter of 2026 on revenue of $1,646 million13.
The growth is in cheaper and alternative products. Long-term net flows were $18.0 billion in 2024 and $34.4 billion in 202514, while equity funds kept losing money: negative $24.1 billion in the first half of 202615.
The segment's assets have shifted toward lower-fee categories. At the end of June 2026 Alternatives and Solutions held $852 billion and Liquidity and Overlay $688 billion, against $235 billion in equity and $229 billion in fixed income16. In the second quarter of 2026 asset management fees were $1,516 million and performance-based income and other $130 million17.
Eaton Vance was paid for with about $5.3 billion of stock, some 69 million shares, and about $3.4 billion of cash18. The segment's pre-tax income was $870 million in 202019 and $1,478 million in 202520, an increase of about $608 million a year, or about 7% pre-tax on the $8.7 billion price21. Pre-tax income in the second quarter of 2026 was $404 million against $323 million a year earlier22.
The outlook is modest growth with a falling fee rate. This is a thin moat. The number that would change the verdict is fee revenue against assets: fees growing as fast as assets for two years would mean the mix shift was no longer diluting the business.
