A Japanese bank owns a quarter of Morgan Stanley and names two of its directors, which makes it a partner, a shield and a concentration at once.

Morgan Stanley's largest shareholder is not an index fund but a partner. MUFG owned 380,010,887 shares, 24.0% of the common stock, at the 2026 record date1, worth about $74.6 billion at the September 2026 price2. Under an investor agreement dated 13 October 2008, Morgan Stanley agreed to take all lawful action "to cause two of MUFG’s senior officers or directors to become members of the Board"3. The 2026 designees were MUFG's chairman, Hironori Kamezawa, and its deputy chairman, Yasushi Itagaki4.

The partnership has an operating side. In Japan the two firms own a securities joint venture: Morgan Stanley has a 40% economic interest and MUFG 60%, while Morgan Stanley holds 51% of the votes in one of the two entities5. The firm describes about 17 years of partnership with MUFG6.

This is the least competitive relationship on the page, and the most unusual. A shareholder with a quarter of the company and two board seats is a source of stability; no activist can easily build a position against it. It is also a concentration: the annual report names the MUFG alliance among its risks7.

The 2026 designees replaced Masato Miyachi, an adviser to MUFG Bank, on the board8. Kamezawa has served as a director since 20219. The arrangement has lasted since 2008, through a change of chief executive at Morgan Stanley, which suggests each partner still values it.

The alliance is named in the annual report's list of risks, which covers the integration of acquisitions and alliances, "including with Mitsubishi UFJ Financial Group"10. The firm also estimates that a 10% fall in the value of its Japanese joint venture would cost $129 million11, a small number against a stake worth about $74.6 billion held the other way round12.

The partnership's value shows up in Asia, where revenue was $3,930 million in the second quarter of 202613, about 18% of the firm's total14. A decision by MUFG to sell down its stake would be the clearest sign that the alliance had run its course.
