KLA (KLAC) — threat to the moat

Orbotech cost about $3.26 billion and has been written down by $785 million, and its businesses earned $173 million last year.

KLA's one big step outside its franchise has not paid. It completed the acquisition of Orbotech on 20 February 2019 "for a total purchase consideration of approximately $3.26 billion"1, and goodwill rose from $354.7 million to $2,211.9 million in that fiscal year2.

Since then KLA has taken goodwill charges of $256.6 million in fiscal 20203, $289.5 million in fiscal 2024 and $239.1 million in fiscal 20254, a total of $785.2 million5. In March 2024 KLA "announced the end of manufacturing of most Display products"6.

The businesses Orbotech brought, PCB and Component Inspection and Specialty Semiconductor Process, earned segment profit of $108.0 million and $64.6 million in fiscal 20267. Their segment revenue together was $1,334.5 million89.

The Orbotech agreement was struck in March 2018 at approximately $3.4 billion10; by completion in February 2019 the consideration was approximately $3.26 billion11. The deal also brought SPTS Technologies, which Orbotech owned12, the business now reported as Specialty Semiconductor Process. Goodwill stood at $1,788.8 million at June 202613.

The charges also show up inside the segment. PCB and Component Inspection's other segment items, which include amortisation of purchased intangibles and the impairments, were $365.3 million in fiscal 2024 and $307.9 million in fiscal 2025, and $46.2 million in fiscal 202614. Much of that segment's return to profit came from the charges ending rather than from a transformed business.

The lesson for owners is about capital, not the moat. KLA's process control business earns far more on the money it uses than these purchases do. The remaining risk is small but named: the 10-K says a reporting unit valued 10% lower would have meant "an additional approximately $50 million impairment charge"15. Another impairment would show the purchase is still costing money.
