Amphenol (APH) — threat to the moat

Amphenol's acquisition-related expenses reached $272 million in the first half of 2026, more than in any full year before it.

Every purchase carries a bill beyond the price, and Amphenol's has grown. Acquisition-related expenses were $11.5 million in 2020, $70.4 million in 2021, $21.5 million in 20221, $34.6 million in 2023, $127.4 million in 2024 and $103.4 million in 20252. In the first half of 2026 alone they were $272.4 million3.

Half a year of CommScope costs more than any full year before.

The company says why in its risk factors. "The Company has at times experienced difficulties and unanticipated expenses in connection with purchasing and integrating newly acquired businesses"4, and it lists as a risk that it "may not be able to close acquisitions as anticipated, or at all"5.

The expenses are small against the company, 0.4% of 2025 sales6. What matters is what they signal. When deal costs rise faster than sales, the growth being bought is costing more to integrate; when they spike, as in the first half of 2026, a large and complex business is being absorbed.

The real cost of integration does not show up in this line at all. It shows up in the time of general managers and segment leaders spent absorbing 20,000 new people7, and in the risk that the smaller businesses, which carried the margin for a decade, get less attention while the big one is fixed.

The first half of 2026 made the cost visible in earnings per share: $218.6 million after tax, or $0.17 a share on the pre-split basis8. In 2024, the year of the CIT purchase, they were $127.4 million, and the inventory step-up another $18.2 million9.

This is a quiet threat rather than a loud one. Acquisition-related expense above $150 million in 2027, a year without a major deal, would mean integration is running late, and the savings the purchase was meant to bring are further off than the company expects.
