Half the Balance Sheet Is GoodwillNarrow moat
Amphenol (APH) — moat facet
About half of Amphenol's assets are now goodwill and intangibles, the premium paid for other people's businesses, and no impairment has been taken in years.
What Amphenol owns today is mostly the premium it paid for other businesses. At 30 June 2026 its total assets were $44,806.6 million1. Goodwill was $17,554.7 million and other intangible assets $5,288.9 million2, together about 51% of the total3. Property, plant and equipment was $2,932.2 million4, about 6.5%5.
For an asset-light assembler that is not alarming in itself. Goodwill is the difference between what a buyer pays and the fair value of the tangible and identifiable assets; for a business whose value is its customers and engineers, most of the price will always be goodwill. The CommScope allocation is typical: of net assets acquired of $10,735.8 million, goodwill was $6,958.0 million and other intangibles $3,289.0 million6, the intangibles made up of proprietary technology, customer relationships, trade names and backlog7.
The record so far is clean. Amphenol recognised no goodwill impairment in 2022, 2023 or 2024, and performs its annual test on its three reporting units, which are the three segments8. Testing at the level of whole segments has a consequence, though: a weak acquired business can be carried by strong neighbours inside the same segment, so an impairment at Amphenol would be rare even if one purchase disappointed.
The balance sheet has changed shape quickly. At the end of 2025, before CommScope, goodwill and other intangibles were $12,816.8 million of $36,236.9 million of assets, about 35%910.
The intangibles themselves are named. Of the $3,289.0 million assigned to CommScope's, $1,449.0 million was proprietary technology, $1,248.0 million customer relationships, $545.0 million trade names and $47.0 million backlog11, all of it to be amortised. Customer relationships are the asset the general-manager system is built to use. Other intangible assets were $5,288.9 million at 30 June 2026, from $2,241.4 million six months earlier12. Goodwill alone was 39% of total assets at 30 June 202613.
If goodwill and intangibles rise above 55% of assets through further deals, the company will be priced by what it has paid rather than what it makes, and an impairment, when it came, would be large.
Goodwill and intangibles 51% of assets in June 2026, from 35% six months earlier.
How much of the company is purchase premium; above 55% would put the balance sheet at the mercy of one impairment test.
