✦ Paying Down the CommScope DebtNarrow moat

Amphenol (APH) — the future bets

Amphenol repaid $534 million of CommScope term loans in July 2026 and could clear the rest from a month of free cash flow, if it chooses debt over deals.

The bet with the most direct effect on owners is how fast Amphenol turns CommScope's debt back into cash returns. Net debt was $13.4 billion at 30 June 2026 and net leverage 1.3 times1. In July the company used cash on hand to repay $300.0 million and $234.1 million of its 364-day delayed-draw term loan, leaving $400.0 million outstanding2.

More than half the 364-day loan repaid in one month.

The cash is there to do it. Operating cash flow was $1,557.2 million in the June 2026 quarter3, and free cash flow about $1.2 billion4. At that pace the remaining 364-day loan could be repaid from one month of free cash flow.

The competing calls are dividends, buybacks and the next deal. The quarterly dividend is $0.125 a share after the split5. The quarter's capital returns were $515 million, $208 million in buybacks and $307 million in dividends6, and $411.1 million of the $2.0 billion repurchase authorisation remained at 29 July 20267. Amphenol also closed two more acquisitions in the quarter8.

The choice is a test of discipline. Paying down debt raised for the largest deal before starting the next large one is what a careful owner would do; the company's history of buying every year suggests the pressure will run the other way.

The starting point was strong. At the end of 2025, before the closing, total liquidity was $17.5 billion and the net leverage ratio 0.6 times9. The deal took leverage to 1.3 times10. Getting back below 1.0 would take about $3.1 billion less net debt at the earnings behind the 1.3 ratio, or those earnings about 30% higher11. The November 2025 notes alone total $7.5 billion12. The dividend is the fixed call. The June quarter's payments were $307 million13, so the remaining $400.0 million term loan is a little more than one quarter's dividend14.

Net leverage still above 1.0 times at the end of 2027, with cash flow as strong as it is now, would mean the cash had gone to new purchases rather than to repairing the balance sheet.
