Amphenol (APH) — threat to the moat
Amphenol paid about 2.8 times sales and 19 times earnings for CommScope's cable business, and 95% of the price is goodwill and intangibles.
Amphenol's largest acquisition is also its most expensive per dollar of sales. CommScope's Connectivity and Cable Solutions business was bought "for $10.5 billion in cash"1. Its audited 2025 accounts show net sales of $3,754.5 million, operating income of $739.6 million and net income of $545.9 million2. The price was therefore about 2.8 times sales and 19 times net income3, against about 2.2 times for CIT and 1.7 times for Andrew4.
The purchase price allocation shows what was bought. Of net assets acquired of $10,735.8 million, goodwill was $6,958.0 million and other intangible assets $3,289.0 million5. Property, plant and equipment was $317.0 million6. About 95% of the price is therefore goodwill and intangibles7; the business comes with few factories and many customer relationships.
That fits the thesis for the deal: fibre optic connectivity for data centres. Amphenol said the purchase adds "significant fiber optic interconnect capabilities for the IT datacom and communications networks markets"8, and it now expects IT datacom to be "just a bit less than half of CommScope's total sales for the full year", against "about a third of their sales. In 2025"9.
The multiple assumed growth, and the early figures show it. CommScope's standalone sales rose from $2,823.2 million in 2024 to $3,754.5 million in 202510, 33%11, and Amphenol expects $4.6 billion in 202612. Amphenol assumed $1,788.0 million of liabilities with the business, against $12,523.8 million of assets acquired13, and the seller's employees came too: about 20,00014. Customer relationships alone were valued at $1,248.0 million15.
The price becomes a problem only if that growth stalls. If the business's 2027 sales fall below its 2026 level, Amphenol will have paid 19 times earnings for a cyclical fibre business at the top of its cycle.
