Amphenol (APH) — threat to the moat

Acquisitions took about three-quarters of Amphenol's operating cash in 2024 and 2025, before a single $10.5 billion deal was financed with debt.

Amphenol can afford its acquisition habit only while the cash keeps up with it, and recently it has barely kept up. Acquisition payments were 62.4% of operating cash flow in 2019, 3.2% in 2020, 144.5% in 2021, 13.3% in 2022 and 38.4% in 20231. In 2024 they were 76.6% and in 2025 71.0%2, on payments of $2,156.4 million and $3,818.6 million against operating cash flow of $2,814.7 million and $5,374.7 million3.

Acquisition payments as % of operating cash flow622019320201452021132022382023772024712025SEC XBRL acquisition payments and operating cash flow; Amphenol Form 10-K FY2025
Above 70% in each of the last two full years.

The first half of 2026 was far beyond that. CommScope alone cost about $10.5 billion4, paid with bonds and term loans raised for the purpose; total debt reached $18.8 billion and net debt $13.4 billion at 30 June 20265.

The years above show that Amphenol can pause. In 2020 it spent almost nothing on acquisitions and in 2022 only $288.2 million6. The question is whether the pause comes after CommScope, when the balance sheet needs it, or whether the rising size of deals now requires borrowing as a matter of course.

The company also has to fund a second habit. Capital spending was $996.6 million in 20257, and the dividend and buybacks together took $1,467.4 million8. Add acquisitions and 2025's uses of cash exceeded operating cash flow9. The balance sheet shows how the gap was filled. Total debt was $15,502.0 million at the end of 202510, against $6,886.1 million a year earlier11.

The ratio will say whether the habit is under control. If acquisitions again exceed 75% of operating cash flow in 2027, with CommScope's debt still outstanding, the growth will be leaning on the lenders rather than the businesses.
