Merck charged $14.7 billion of acquired research in the first half of 2026 and reported a loss, as it did in 2023.

Merck repeated the 2023 pattern in 2026. It acquired Cidara Therapeutics in January 2026 for $9.2 billion and recorded a $9.0 billion charge to research and development1, then acquired Terns Pharmaceuticals in May 2026 for $6.8 billion and recorded a $5.7 billion charge23. Together the charges were $14.7 billion4.

A first-half loss by design.

The effect on reported results is stark. Merck's net loss attributable was $5,575 million in the first half of 2026, a loss of $2.26 a share5. The Terns charge alone was $2.31 a share, with no tax benefit recorded6. Research expense in the second quarter was $9,741 million, against $4,048 million a year earlier7.

Guidance moved with the deals. Merck now expects non-GAAP earnings of $2.66 to $2.76 a share in 2026, against $5.04 to $5.16 before, including charges of $3.62 a share for Cidara and $2.31 for Terns8. Its non-GAAP tax rate guidance rose to 35.0% to 36.0%9.

The cash was real. Merck paid $8,779 million net for Cidara and $5,842 million for Terns in the first half10, and net debt rose to about $46.8 billion at 30 June 202611.

The guidance change was large. In February 2026 Merck expected non-GAAP earnings of $5.00 to $5.15 a share for the year, a range that already reflected a one-time charge of about $3.65 a share for Cidara12. The August range of $2.66 to $2.7613 absorbed Terns as well.

These are bets on the post-Keytruda portfolio, paid for up front. The 2026 earnings guidance is the figure to follow: if further purchases push it lower again before year-end, Merck is still buying its way toward 2028 rather than growing into it.
