J&J agreed to pay any and all talc costs for Kenvue, a company it no longer owns.

The only segment loss of the period came from litigation.

The history of those costs shows why the promise mattered. The consumer segment reported a pre-tax loss of $1,064 million in 20202, when litigation charges were allocated to it, against a profit of $2,061 million in 20193. That volatility now sits entirely inside a company whose remaining businesses never sold talc.

The cost is not only money. As of June 2026 there were approximately 76,000 plaintiffs with direct talc claims against the company4, and management attention goes with them.

The talc securities class action shows the liability reaching beyond product claims. A class of shareholders suing over talc disclosures, filed in 2018, has been certified; J&J asked the Supreme Court to review that decision, and the Court declined in April 20265. The consumer business is gone, but the litigation about how it was run continues.

The size of the earlier estimates shows why the indemnity mattered. At the end of 2024 J&J's talc reserve had a present value of approximately $11.6 billion, a nominal value of approximately $13.5 billion6. The proposed resolution is far smaller, but only if it succeeds.

Everything turns on whether the July 2026 proposed resolution reaches its condition of participation by at least 95% of the remaining claims7. If it does not, J&J carries an uncapped liability for a business it no longer owns.
