For every dollar of medicines revenue J&J reports, it now accrues about 94 cents in rebates to payers.

The customers with the most power over J&J's medicines never handle them. Innovative Medicine accrued $56,819 million of rebates in 2025, $52,786 million in 2024 and $47,523 million in 202312. Over the same years the segment's net sales were $60,401 million, $56,964 million and $54,759 million3.

Rebates are almost as large as the sales they are deducted from.

Set side by side, rebates have grown far faster than sales. They rose about 19.6% between 2023 and 2025 while net sales rose about 10.3%4. The ratio of rebates to net sales went from about 87% to 94%5. For every dollar J&J reports as medicines revenue, it now accrues about 94 cents of rebates on top.

The filing describes payors and pharmacy benefit managers as a potent force in the marketplace6. The filing describes the pressure in general terms: pricing pressures resulting from trends toward healthcare cost containment, including consolidation among healthcare providers, trends toward managed care and governments increasingly becoming the primary payors of healthcare expenses7. Rebates are what a manufacturer pays to keep its drug on the list of covered treatments.

MedTech faces the same pressure at a lower level. It accrued $6,446 million of rebates in 2025 on $33,792 million of sales8, about 19%9.

The liability on the balance sheet shows the timing. Accrued rebates, returns and promotions were $19,124 million at the end of 2025 against $17,580 million a year earlier10: money owed to payers for sales already booked. The amount is estimated, and the filing notes that reasonably likely changes to the assumptions used are not anticipated to have a material effect11, which means J&J believes its estimates of what it owes are reliable.

The payers hold more pricing power over J&J's medicines than J&J does, and they are using it. The rebate ratio will say whether that continues; a rise above 100% of net sales would mean J&J is giving away more than it keeps from each list-price dollar, and the gap between list price and reality has become the business.
