⚠ Cerevel's $4.5 Billion Write-OffModerate threat

AbbVie (ABBV) — threat to the moat

AbbVie wrote off $4.5 billion of the $8.7 billion Cerevel purchase within months, when its lead schizophrenia drug failed.

AbbVie bought Cerevel Therapeutics in August 2024 for $8.7 billion1 to add to its neuroscience pipeline. Within months it recorded an intangible asset impairment of $4.5 billion on emraclidine, a schizophrenia candidate, after two Phase 2 trials did not meet their primary endpoint2. Operating losses attributable to Cerevel were $4.9 billion including that charge3.

Half written off within months.

The failure shows the cost of buying late-stage neuroscience. Brain disorders are hard to treat and trials often fail.

AbbVie still holds other Cerevel assets, and Vyalev and its migraine drugs keep the neuroscience business growing.

The price was high for an unproven pipeline. AbbVie paid $45.00 a share for Cerevel4, and the lead asset's failure left most of the value in doubt within months. The lesson is the one every large acquirer relearns: late-stage neuroscience assets are priced as if they will succeed, and many do not.

AbbVie kept the rest of Cerevel's pipeline, and its neuroscience business has continued to grow without emraclidine. The write-off reduced the value of the purchase; it did not stop the strategy.

Future neuroscience impairments are the thing to watch. Another write-down of this size would say AbbVie is paying too much for the next Vraylar.
