The 112 million shares Palo Alto issued for CyberArk are worth about twice their booked value at today's price.
Palo Alto paid for CyberArk largely by issuing shares, and existing owners bear that cost. The company issued 112 million shares in the deal1. Shares outstanding rose about 7.76% in a year2, to 818 million on 31 August 20263.
The buyback did not offset it. Palo Alto repurchased 7 million shares in fiscal 2026 at an average of $147.70, for $1,000 million4, and has $1.0 billion of authorisation remaining until 31 December 20265. The shares issued for CyberArk were valued at about $165 each6; the stock now trades at $374.747.
Seen from today's price, the 112 million shares are worth about $42 billion8, twice the booked cost. That is the real price existing owners paid, in the currency they gave up.
The largest holders are index and asset managers. BlackRock Advisors held about 6.688% and Vanguard Capital Management about 6.519% of the shares9, and institutions own 83.65%10. Those holders absorbed the dilution.
Dilution is justified only if the combined business grows per share. The number to follow is the share count, 818 million11; if it keeps rising faster than buybacks retire shares, per-share value is being spent on growth that shows up only in totals.
