Physician groups and hospital organizations "may compete directly with us"2, and if providers refuse to contract with UnitedHealth or use their market position to negotiate favorable contracts, its ability to sell products or earn a profit in those areas could suffer3. At the same time, physicians, hospitals and other providers are customers of Optum's businesses4.

Optum Health's clinics sharpen the conflict. When UnitedHealth owns doctors in a market, independent doctors and hospital systems there are negotiating with a payer that also competes with them for patients. This is where UnitedHealth's scale helps least. A dominant hospital system in a city can demand higher rates whatever the size of the insurer across the table.
