Goldman's name in the boardroom is its oldest asset, and it now brings the loan and the bond issue along with the advice.
The second part of Goldman's moat is its place in the boardroom. It has led advisory by reported revenue share for 23 years running1, and it was first in mergers and acquisitions and leveraged loans for 20252. Investment banking fees were $6,215 million in 2023, $7,732 million in 2024 and $9,339 million in 20253, about 50% growth in two years4.
The fees come in three kinds. Advisory earned $4,726 million in 2025, equity underwriting $1,784 million and debt underwriting $2,829 million5. The second quarter of 2026 brought fees of $3,395 million, up 55%, with a record in debt underwriting67.
Advice is sold on reputation, and reputation is slow to build and hard to copy. A board choosing an adviser for a large merger wants the one with the longest record of large mergers, which is why the ranking reinforces itself. The adviser then sits at the table when the financing is arranged, and the underwriting and lending follow.
Goldman adds two things a boutique adviser cannot: a balance sheet that can commit to a leveraged loan, and trading desks that can distribute a new issue. It ranked first in leveraged lending in the first half of 20268.
The weakness is timing. Fees depend on companies choosing to do deals, and they can wait. The firm reported its banking backlog at the highest in four years at the end of 20259, but by June 2026 debt underwriting backlog had fallen significantly10.
The first half of 2026 was stronger still. Advisory earned $2,872 million against $1,966 million a year earlier, equity underwriting $1,520 million against $798 million and debt underwriting $1,843 million against $1,341 million11. Investment banking fees for the half were $6,235 million, up 52%12. For 2025 the firm said its backlog had increased significantly compared with the end of 202413.
This part of the moat is wide in reputation and narrow in revenue stability. Should fees drop below $7.5 billion in a year when Goldman still ranks first, much of the fee would turn out to belong to the market.
