Caterpillar has retired a fifth of its shares since 2018, paying $132 each in 2019 and $369 in 2025.

Caterpillar has been shrinking its share count for years. Its average diluted shares outstanding were 599 million at the end of 2018 and 472 million at the end of 2025, a reduction the company puts at 21%1. It spent $4,975 million on repurchases in 2023, $7,697 million in 2024 and $5,190 million in 20252, and $5.0 billion in the first quarter of 2026 alone3.

The effect on per-share figures is large. Profit was $6,147 million in 2018 and $8,884 million in 202545, up about 45%6; diluted earnings per share went from $10.26 to $18.8178, up about 83%9.

The price paid has risen. Caterpillar's weighted average price paid per share was $132 in 2019, $256 in 2023, $329 in 2024 and $369 in 202510. The shares closed at $805.25 on 24 September 202611.

Buying back shares at rising prices is only wise if the business is worth more than the price. At $132 in 2019, when the shares ended the year at about 13 times earnings12, it clearly was.

The count of shares bought tells the same story. Caterpillar repurchased 19,466,020 shares in 2023 and 23,417,282 in 202413. In the second quarter of 2026 it deployed $1.5 billion on repurchases and $0.7 billion on dividends14, a slower pace than the $5.0 billion of the first quarter15.

Earnings per share against the price paid is the test. At 34 times trailing earnings16, each dollar spent now retires far fewer shares than in 2019; if buybacks continue at the same pace while the multiple stays this high, the per-share lift will fade.
