Caterpillar (CAT) — the future bets
Caterpillar paid about $733 million for mining software to make its trucks part of a system a mine cannot easily leave.
In mining, Caterpillar's future bet is to sell the system rather than the truck. It acquired RPMGlobal, a mining software company, on 17 February 2026 for approximately $733 million net of $53 million of acquired cash, within Resource Industries1. In July it completed the acquisition of Skycatch, whose technology captures high-precision spatial data and pairs it with AI capabilities2.
The autonomy business is the base. Caterpillar had 827 autonomous haul trucks in operation at the end of 2025, up from 690, and aims to triple the 2024 number by 20303. It is expanding into quarries and into mixed fleets4.
The logic is switching costs. A mine that plans with Caterpillar software, surveys with Caterpillar data and runs Caterpillar autonomous trucks is far harder to move to a rival than one that simply owns yellow trucks.
The acquisitions are small against the company. RPMGlobal cost about 1% of Caterpillar's 2025 sales and revenues5. The risk is not financial but strategic: mining companies may prefer software that runs any maker's fleet.
The RPMGlobal purchase included little in the way of physical assets. Tangible assets acquired were $78 million, primarily including $53 million of cash6; the rest of the price was for software, customer relationships and goodwill. Caterpillar financed the transaction with available cash7.
The autonomous fleet count is the test. Reaching about 2,070 trucks by 20308 would show the system is winning; stalling near 1,000 would show miners are buying the trucks but not the lock-in.
