Home Depot's buybacks pushed its equity below zero in 2022, which flattered its returns and left no cushion for the SRS deal.

Home Depot's stockholders' equity was a deficit of $1,696 million at 30 January 20221. It had bought back so much stock, $15,001 million in fiscal 2021 alone2, that treasury stock outweighed everything else on the equity side; treasury stock now totals $95,971 million3.

From negative to $16.6 billion.

Negative equity is not insolvency; the stores and cash flow are real. But it made the company's reported returns look higher than the underlying business, and it left no cushion when a large acquisition came along.

That cushion is being rebuilt. Equity was $1,044 million at the end of fiscal 2023, $12,813 million at the end of fiscal 202545 and $16,617 million in August 20266. The price-to-book ratio is 17.617.

The rebuild is mechanical. With no buybacks, net earnings of $14,156 million less dividends of $9,152 million in fiscal 20258 left about $5 billion to add to equity9, plus stock issued for SRS. Equity will keep rising until buybacks resume.

The test is what the board does with the rebuilt equity. Resuming buybacks at the old pace would take equity back toward zero; the falsifying signal would be a new large acquisition funded with debt while equity is still thin.
