A dealership group is exposed to the car cycle, to interest rates that set the cost of car loans and dealer inventory, and to tariffs on imported vehicles. Its service business is steadier, but the total still moves with the economy.

Mitsui's proposal to take the group private2 would increase that exposure at a point in the cycle when margins have already fallen.

The public float the partners want to buy is 18,245,929 shares3. Taking the company private removes the market price as a daily measure of its value, which would leave Mitsui's shareholders with only its contribution to judge the investment by.

The measure is the contribution per share of the stake. A further decline after a take-private would mean Mitsui bought more of a business whose profits were still falling.
