Mitsui's steadiest segment runs almost entirely through companies it does not control.
The Machinery & Infrastructure segment's equity-method profit of ¥239.8 billion is larger than its net profit of ¥225.9 billion1. Almost everything it earns comes from companies in which Mitsui is a partner rather than the controller.
That arrangement has served Mitsui well with Penske, in which Mitsui has been invested since 20012. But it also means that Mitsui's share of profit depends on decisions others take about dividends, investment and strategy.
The segment's partners include Penske Corporation, which owns about 52.0% of Penske Automotive against Mitsui's 20.3%3.
The relationship with Penske Corporation is the model Mitsui likes: a long-term partner that runs the business, with Mitsui supplying capital and patience. It has worked for twenty-five years. The take-private proposal, made jointly with Penske Corporation4, would deepen it rather than change it.
The measure is the cash those investees pay. Dividends received well below equity-method profit would say the partners are keeping the cash.
