Mitsui wants to take its twenty-five-year car-dealer partnership private at a $13.8 billion valuation.
On 22 July 2026 Mitsui and Penske Corporation made a non-binding proposal to acquire the shares of Penske Automotive Group they do not own, at $210 a share1. The price implies an equity value of $13.8 billion; the partners would buy about 27.8% of the shares, 18,245,929 of them, at an estimated total cost of $3.8 billion2. Penske Corporation owns about 52.0% and Mitsui about 20.3%3.
The proposal would extend a relationship that began in 20014 and turn a listed stake into a private one. It fits a pattern among Japanese trading houses of taking businesses they know well private and running them for the long term.
The price is large relative to the stake's contribution: Penske Automotive earned Mitsui ¥27.1 billion in the latest year5. The company says the proposal is outside its Management Allocation for the plan6.
The measure is whether it completes, and at what price. A deal at $210 would raise Mitsui's share of a business whose contribution has drifted down; a higher price would test its own 10% hurdle7.
