Analog Devices (ADI) — threat to the moat

ADI's 72.5% adjusted gross margin leaves out about $400 million a quarter of acquisition amortisation, the accounting cost of the $44 billion it paid for Linear and Maxim.

The margin ADI and its analysts quote is the adjusted one, and the difference is not small. In fiscal 2025 acquisition-related expenses reduced operating income by $1,619.7 million1. In the third quarter of fiscal 2026 they were $209.2 million in cost of sales and $188.6 million in operating expenses2, about $397.8 million together3. That is why the reported gross margin of 67.3% sits 5.2 points below the adjusted 72.5%45.

About $400 million a quarter left out of the adjusted margin.

These are not cash costs. They are the amortisation of the intangible assets recorded when ADI bought Linear and Maxim, mostly customer relationships and technology6. The adjusted figure is a fair guide to the cash the business throws off. It is not a guide to the return on what shareholders paid, because the $27.9 billion ADI spent on Maxim is as real as the cost of a wafer.

The risk is in the comparison. An investor who looks only at a 72.5% adjusted gross margin and a 50.0% adjusted operating margin sees a business earning extraordinary returns. An investor who looks at the capital, argued under Bought, Not Built: Linear and Maxim, sees returns below the cost of capital. Both are true.

The gap will narrow on its own: the amortisation schedule falls steeply after fiscal 2029, discussed on The Amortisation Cliff After 2029. The warning would be a new deal that restarts it. If acquisition-related expenses rise back above $450 million a quarter after the Empower and Alif purchases, the adjusted margin will be leaving out a growing bill rather than a shrinking one.
