ADI tests its $28 billion of goodwill against the value of the whole company, worth 5.7 times book, so no acquisition is ever judged on its own.

ADI will almost certainly never write down Maxim, and that is not the same as Maxim having been a good purchase. The 10-K explains the test: "We have determined that the business operates as a single operating segment and has a single reporting unit for the purpose of goodwill impairment testing."1 Goodwill is compared with the value of the entire company.

The market value is almost seven times the goodwill it would have to cover.

The entire company is worth far more than its book value. At $191.61 billion on 28 September 20262, market value was about 5.7 times shareholders' equity of $33,550.9 million34, and 6.8 times goodwill5. For an impairment to appear, the whole of ADI would have to lose most of its market value.

The consequence is that the accounts cannot tell a reader whether Linear or Maxim earned back its price. There is no segment result, no deal-level return and no impairment test at the level of the businesses bought. The company does not disclose profit by end market either6. A deal that disappoints simply blends into the whole.

That is an accounting rule, not a concealment; many companies with one segment test goodwill the same way. But it removes the one discipline that usually forces an acquirer to admit a mistake. The discipline has to come from return on invested capital instead, which is why that number carries the thesis on Seventy-Three Percent of the Balance Sheet. If ADI makes another large purchase while reported return on capital is still below 9%, the single reporting unit will be doing the work that an impairment test would otherwise do.
