ADI spent about $11 billion on buybacks in five years, mostly to absorb the Maxim shares, and still has $7.4 billion authorised.

Buybacks are the flexible half of ADI's promise to return its cash. It spent $2,605.1 million on repurchases in fiscal 2021, $2,577.0 million in 2022, $2,964.0 million in 2023, $615.6 million in 2024 and $2,164.6 million in 20251, and $2,446.4 million in the first nine months of fiscal 20262. Before Maxim, spending ranged from $46.5 million to $613.0 million a year3.

Buybacks jumped after Maxim and flexed with the cycle.

Much of the recent spending was undoing the Maxim deal's dilution. ADI issued about $28.0 billion of its own stock to buy Maxim4, and has spent heavily since to bring the count back down. Shares outstanding were 496,296,854 at the start of fiscal 2025 and 484,565,465 at 1 August 202656, a fall of about 2.4%7. The board had authorised $26.7 billion of repurchases in total, "and $ 7.4 billion remained available" at 1 August 20268.

The buyback flexes with the cycle, which is what makes the dividend safe. In fiscal 2024, when free cash flow fell, buybacks fell by about four-fifths9. The dividend did not.

The question is price. Buybacks create value only when shares cost less than they are worth. At $395.4310, ADI is buying at 46.96 times trailing reported earnings and 38.81 times free cash flow11, near the top of its own history, which is argued on the danger below.

The buyback will have done its job when the share count is below where it stood before the Maxim deal's dilution was fully absorbed. If shares outstanding stop falling while the company spends more than $2 billion a year on repurchases, the buyback will only be offsetting stock pay.
