Analog Devices (ADI) — moat facet
Goodwill and intangibles are 73% of ADI's assets; its business earns about 35% on the capital it uses and under 6% on the capital shareholders paid.
Almost three-quarters of what Analog Devices owns is the price it paid for other companies. At 1 November 2025 goodwill was $26,945.2 million and net intangible assets $8,013.8 million, against total assets of $47,992.7 million1: 72.8%2. At 1 August 2026, after Empower, the share was 73.2%3, on goodwill of $27,988.7 million4.
That single fact explains why ADI's returns look ordinary on one measure and exceptional on another. On the repo method, which counts all operating capital including goodwill, return on invested capital was 5.7% in fiscal 20255. Remove goodwill and intangibles and the same after-tax operating profit of about $2,451.6 million earns about 34.9% on roughly $7.0 billion of capital6.
Which is the real return? For the operating business, the second. A converter factory, a design team and a distribution network do not need $35 billion of capital to run; they need about $7 billion. For the shareholder, the first. The $35 billion was paid, mostly in shares, and it is the owners' money that must earn a return. The stock market values ADI at 5.71 times book value7, so a buyer today pays more again.
The gap between the two numbers is the whole acquisition question in one line. A business earning 35% on its operating capital is excellent; a company earning under 6% on everything it has paid is not, and the difference is the premium it paid to get there. That premium is now sunk, and nothing ADI does can reduce it except earning more.
What would narrow the gap is profit growth, not accounting. If the reported return on invested capital, including goodwill, passes 9% in fiscal 2026 on the revenue now expected, the acquisitions will at last be earning their cost of capital.
