Chevron's record of quick synergies makes it easier to justify the next acquisition before the last one has paid off.

Chevron has now bought three companies in six years: Noble for $4,109 million in shares in 20201, PDC for $6,520 million in 20232, and Hess for about $48 billion in 20253. Each was followed by a synergy announcement, and the Hess savings beat their target4.

A successful integration record has a cost of its own: it lowers the bar for the next deal. A company that has shown it can remove $1.5 billion of overlapping cost can argue that almost any target is worth more inside it.

The risk factors acknowledge the other side: "the company may not achieve the anticipated benefits of the acquisition"5. The benefits Chevron controls have arrived; the benefits the reservoir controls are still to come.

The Hess deal was already described in the 2023 10-K6, closed only on 18 July 20257, and closed after "a favorable arbitration outcome regarding Hess' offshore Guyana asset"8. Large deals in this industry carry risks the buyer does not control.

The signal is the next acquisition's premium. A large deal justified mainly by synergies, before Hess's full-year earnings are known, would suggest execution has become a reason to buy rather than a way to make buying pay.
