Sumitomo spent ¥882 billion to own all of SCSK, its largest acquisition by far.
Sumitomo's tender offer for SCSK ran from 30 October to 12 December 2025 and sought 154,701,633 shares12. It took the stake from 50.54% to 88.63% in December 2025, and a squeeze-out completed full ownership in March 20263. The total consideration was approximately ¥882.0 billion4.
The cash left in two stages: most at the tender, and an additional payment of about ¥200 billion in July 20265. Together with the Air Lease acquisition, that made the first months of the current year the heaviest period of investment in the company's recent history.
Full ownership means SCSK's entire profit now belongs to Sumitomo's shareholders and can be combined with its other digital businesses in the new Digital AI segment6.
SCSK also sold ARGO GRAPHICS for about ¥19 billion as part of the portfolio changes7, a sign that the digital business itself is being pruned as well as expanded. Full ownership means such decisions no longer need the approval of SCSK's former minority shareholders.
The measure is the Digital AI segment's return on invested capital. It was 10% in the latest year on ¥710 billion, with 9% forecast on ¥750 billion8.
