Red Hat earns about 7% before tax on the $35.1 billion IBM paid, and only fast growth closes that gap.

Red Hat's revenue of $7,327 million in 20251 is about 21% of the $35.1 billion IBM paid for it23. Apply the Software segment's 33.1% margin4 and the business earns roughly $2.4 billion before tax5, about 7% of the price before any tax is paid.

Goodwill alone is three years of revenue.

The accounting has absorbed the difference quietly. The $23.1 billion of goodwill from the deal6 sits on the balance sheet at cost; IBM's total goodwill was $67,717 million at the end of 20257, about 45% of total assets8. No impairment has been taken.

The danger is that a slower Red Hat would turn a merely expensive purchase into a bad one. Growth of 11% to 13% a year makes the numbers work in about three years; growth of 5% would leave the after-tax return below 8% for nearly eight9.

The accounting treats the gap patiently because it can. Goodwill is tested for impairment rather than amortised, and IBM has recorded none on Red Hat. The intangible assets from the deal, by contrast, are amortised: IBM's total amortisation of acquired intangibles was $2,166 million in 202510. That charge falls outside segment profit but inside reported earnings, which is one reason IBM's GAAP profit is lower than the segment results suggest.

This threat is moderate. It becomes high if Red Hat growth falls below about 9%, the low point of 202311, for a full year, because at that pace it would take more than four years to reach an 8% after-tax return on the price12.
