Outside its own network, Mastercard is one security vendor among many.

Most of what protects Mastercard's services is the network: nobody else sees its transactions. That protection does not extend to threat intelligence. Recorded Future gathers information about attackers and stolen data from outside the payment system1, where specialist security companies compete with similar tools.

The risk is that a business bought at $2.7 billion2 earns ordinary returns in a crowded market. The filing lists competition from companies that provide alternatives to its services and solutions3.

There is also an integration risk. The value of the deal depends on combining external threat data with network data to stop fraud earlier, and that combination has to be proved in results.

There is a counter-argument, and it is the reason the deal was made. A security vendor without a payment network sees threats but not their effect on payments; Mastercard can connect the two, as it did with the card-testing transactions it identified across 192 countries4. If that combination proves unique, the acquisition bought a real advantage. If ordinary security firms can match it through partnerships with banks, Mastercard paid a network owner's price for an ordinary security business.

The quantity to watch is whether Mastercard reports a goodwill impairment on the acquisition. None to date; one would say the price assumed a franchise the market did not grant.
