Kioxia Holdings (285A) — threat to the moat
The capital sits on Kioxia's balance sheet and the control does not, and the difference only becomes visible at the moments that decide a memory cycle.
It is easy to read the accounting treatment as ownership and miss what it does not include.
Kioxia recognises its share of the Flash Ventures assets directly1, which makes the fabs look like its own on the balance sheet. What the accounts cannot show is that the operating decisions about those assets require another company's agreement, because decision-making rights are equal2.
So the capital is on Kioxia's books and the control is not entirely. In a stable period this is invisible. It becomes visible at exactly the moments that decide a memory cycle: whether to convert a fab to a new node, whether to run it below capacity through a glut, whether to add a building.
The partner has been stable for two decades and the arrangement was renewed to 20343, which is real evidence that the mechanism works.
The falsifier would be a public divergence on capacity — one partner announcing an expansion the other has not endorsed. In a structure built on consent, that would be the first sign the consent is thinning.
