Seven of the nine fabs are owned fifty-fifty with a company that sells against Kioxia the following week -- half the capital bill, and half the freedom.

Kioxia's flash is made in nine plants in Japan. Seven of them — six at Yokkaichi in Mie prefecture, one at Kitakami in Iwate — belong to Flash Ventures: three joint operations named Flash Partners, Flash Alliance and Flash Forward, in which Kioxia and Sandisk hold equal decision-making rights1. Kioxia's own accounts do not treat them as investments; it recognises its share of the assets, liabilities, income and expenses directly2, because economically it owns half of each fab rather than shares in a company that owns them.

It goes further than the buildings. Sandisk's own filing states that the two companies co-develop the process technology and memory design, and jointly own the result3.

What this buys is the single most valuable thing available to a NAND producer: half the capital bill. Flash is a business where the cost is fixed, enormous and paid years before the revenue — Kioxia spent ¥281,062 million on property and equipment in the year to March 20264 — and a partner who pays half of that is worth more than any amount of marketing.

What it costs is autonomy. Neither party can expand, retool or shut a Flash Ventures fab alone, and the partner making those decisions with you is selling against you the following week.

The measure is whether the structure survives its own logic. It was extended in January 2026 to run through 20345, which answers the question for another eight years.

Moat trajectory: Widening

The January 2026 extension took the Yokkaichi and Kitakami arrangements through 2034 and had Sandisk agreeing to pay Kioxia $1.165bn in installments to 2029. The single largest structural uncertainty about this company was removed for eight years, on terms that favoured Kioxia.
