AMD's best-moated business is one it bought for ~$49B — a price whose goodwill is exactly what still drags returns below the cost of capital.
The embedded franchise is genuinely the best-moated part of AMD — but AMD did not build it, it bought it, and the price it paid is a permanent part of the story. The 2022 Xilinx acquisition cost roughly $49 billion in stock1, an enormous sum that loaded AMD's balance sheet with tens of billions of dollars of goodwill and acquired intangible assets. The amortization of those intangibles has weighed heavily on AMD's reported (GAAP) profits ever since, and the goodwill inflates the capital base against which the company's returns are measured — which is a large part of why AMD's return on invested capital, despite its operational success, has sat near or even below its cost of capital in recent years.
This matters for how an investor judges the whole company. A wide-moat business is only a good acquisition if it was not overpaid for, and the steep price of Xilinx means the franchise's genuine quality must be set against the substantial value AMD handed over — in dilution and in a depressed return on capital — to obtain it. The stock paid was itself a form of cost borne by existing shareholders. Bulls argue the deal was strategically sound: it diversified AMD, added its stickiest and highest-margin business, and was paid for in richly-valued stock at an opportune moment. Bears note that the returns speak for themselves — the acquired moat has not yet earned back its cost in economic terms, and the goodwill is a standing reminder that AMD's reported profitability flatters an underlying return on capital that the Xilinx price still drags down. The embedded franchise is a real asset; the price of it is a real weight; and an honest accounting of AMD's moat must hold both in view.
