The incentive line falls fastest at the top of the cycle, which means it has only one way to go.
Sales incentive and marketing programmes — price protection for inventory held by resellers when list prices fall, marketing reimbursements, other incentives — were 11% of gross revenue in fiscal 2026, against 19% in each of 2025 and 2024.1 Sandisk says the amounts vary with industry conditions, list-pricing strategy, seasonal demand, competitor actions, channel mix and product availability.2
Eight points of gross revenue is a large swing and none of it was earned. Price protection costs nothing when list prices are rising, and a channel that cannot get enough product does not need to be paid to stock it. The improvement is a symptom of shortage, not of negotiating strength — and the same clauses are still in the contracts.
That makes this a liability with a delay on it. When list prices fall, Sandisk reimburses distributors and retailers for inventory already on their shelves, at the same moment its own realised prices are falling and its underutilisation charges are restarting. The three effects arrive together, which is how a memory downturn goes from bad to violent.
The company states directly that changes in future customer demand and market conditions may require it to adjust these programmes as a percentage of gross revenue.3
Watch this line in the next annual report. A move back toward the high teens is the earliest documented signal in the filings that list prices have turned, and it will appear before the revenue does.

It holds approximately 8,000 granted patents and approximately 3,000 pending patent applications worldwide, and states that although these have considerable value, successful manufacturing and marketing also depend upon the technical and managerial competence of its staff, so the patents cannot alone ensure its future success; it names non-patented intellectual property, particularly some of its process technology, as an important factor, protected by non-disclosure agreements, contractual provisions and internal safeguards, and discloses the risk that competitors may obtain and use such information and that foreign jurisdictions may give confidential information less protection. It relies on technology licensed from other parties and believes it has adequate cross-licences to compete. Competitors named are Kioxia, Micron Technology, Samsung Electronics, SK Hynix, Yangtze Memory Technologies and numerous smaller companies. All flash-based memory is obtained from the joint ventures with Kioxia; controllers are primarily designed in-house and manufactured by third-party foundries or bought from third parties. Assembly and test comprise in-house facilities at Penang, Malaysia, contract manufacturers, and the SDSS facility owned 20% by Sandisk and 80% by JCET Management. Sandisk and Kioxia operate three ventures — Flash Partners, Flash Alliance and Flash Forward — across eight flash manufacturing facilities in Japan, six at Yokkaichi and two at Kitakami; Flash Ventures accounts for approximately 80% of the total manufacturing capacity in the facilities owned by Kioxia. International sales represented 82%, 80% and 86% of net revenue for 2026, 2025 and 2024. For 2026, 2025 and 2024, no customer accounted for more than 10% of net revenue. Sandisk provides distributors and retailers with limited price protection and reimburses certain marketing expenditures.
