One overpriced mega-deal at the cycle's top could undo years of value.
Price discipline is the arithmetic that makes Broadcom's whole acquisition model work, and it is exactly the discipline hardest to keep as deals grow larger, targets scarcer, and competition for them fiercer. A single overpriced mega-acquisition could undo years of careful value creation, saddling the company with debt and a purchase price that no amount of cost-cutting can redeem. The bigger the checks Broadcom must write to move the needle, the greater the damage a mistake would do.
The risk is amplified by timing and scarcity. Broadcom increasingly hunts in a market of expensive, picked-over assets, and the pressure to keep the machine fed can push a serial acquirer to rationalize a price it should refuse. VMware, at $86.3 billion, was a vast sum1; it has worked out well so far, but it also loaded the balance sheet with debt and set a precedent for the scale of bet the model now requires. The next deal will have to be larger still, at whatever prices a frothy market demands.
Broadcom's history of walking away from deals that got too expensive is genuinely reassuring, and its cold focus on post-synergy cash flow has kept it disciplined where others were not. But an owner should recognize that the strategy's success has raised the stakes of every future deal, that price discipline erodes precisely when capital is cheap and targets are dear, and that a company defined by acquisition is always one bad big deal away from a serious, lasting wound.
